Online gaming company Gameskraft has been slapped with penalties by the Registrar of Companies (ROC) in Bangalore for extreme delays in its mandatory corporate filings. The fines target both the company and its directors for multiple instances of missing the mandatory deadlines to file company resolutions under the Companies Act, 2013.

The company was penalized for a delay of 2,670 days, more than seven years, over a resolution passed in a meeting on November 10, 2017. This lapse led to a ₹2 lakh fine for Gameskraft, while six of its directors, including Ramesh Prabhu, Deepak Singh, Prithvi Raj Singh, Vikas Taneja, Divya Alok Agarwal, and Vimal Kumar Chawla, were each fined ₹50,000. 

Gameskraft Faces Multiple Corporate Filing Delays

A separate order highlighted another major delay of 886 days for a 2022 resolution, resulting in another ₹98,500 penalty for the company and fines of up to ₹50,000 for five of its directors.

According to the ROC orders, the company itself brought these non-compliances to the attention of the authorities by filing “suo-motu” applications. The penalties were levied under Section 454 of the Companies Act, 2013, for violations of Section 117, which mandates that certain resolutions be filed with the ROC within 30 days of being passed. 

The orders clearly state that the penalties imposed on the directors must be paid from their personal funds and not from the company's accounts. The company and the penalized individuals are required to pay the fines within 90 days through the Ministry of Corporate Affairs' online portal.

These penalties for procedural lapses could not come at a worse time for Gameskraft. The company is already facing a series of significant challenges, including a major fraud allegation against a former CFO of over ₹270 crores. 

More critically, the entire real-money gaming sector is in turmoil due to the newly passed Promotion and Regulation of Online Gaming Bill, 2025. This legislation has forced Gameskraft to shut down its flagship rummy platform, RummyCulture.

Compliance with filing deadlines under the Companies Act is a critical aspect of corporate governance, ensuring transparency and keeping stakeholders informed. The penalties imposed on Gameskraft and its directors undervalue the importance the Ministry of Corporate Affairs places on timely adherence to these statutory requirements.
