EA's $55B Acquisition Nears Close After Regulatory Approval

Electronic Arts (EA) expects its proposed $55 billion USD acquisition to close on Aug 4, 2026, after securing all required regulatory approvals, according to a Form 8-K filed with the U.S. Securities and Exchange Commission (SEC). The company clarified that only the remaining customary closing conditions under the merger agreement must be met before the transaction is completed.
The buyer consortium includes Silver Lake, Saudi Arabia's Public Investment Fund (PIF), and Affinity Partners. Once the deal closes, EA will become a wholly owned subsidiary of the group. PIF is expected to own more than 93.4% of the publisher.
Meanwhile, the European Commission also approved the acquisition, saying it would not raise competition concerns because of its limited impact on the relevant markets.
Battlefield 6's Performance Comes Ahead of EA's Acquisition
The acquisition was announced in September 2025 and received shareholder approval in December 2025. During the review process, U.S. lawmakers urged the Federal Trade Commission (FTC) to closely examine the transaction over concerns about its impact on workers.
The deal also comes after a strong year for EA. In its amended annual report, the company said net income rose 81.5% year-over-year (YoY) to $461M. Net revenue increased 12% to $2.1B. EA credited Battlefield 6 for meeting "all milestones for a high-quality launch." The company also said that the game received "positive critical reviews, stable services, and gameplay."
Despite those results, EA laid off an unspecified number of employees across four Battlefield studios in March 2026.
The company announced that it had made "select changes" to better align its teams with community priorities. It also added that Battlefield remains a primary focus and that investment in the franchise will continue through player feedback and Battlefield Labs.
